Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Site, including our FAQ section, contact forms, and all content, such as articles, blog posts, or other materials (collectively, “Content”). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which constitute the entire agreement between you and Brody | Gapp LLP regarding your Site usage, Content, and communications with us, unless otherwise specified (e.g., via an engagement letter for clients).
 

If you do not agree to these Terms, please do not use the Site. We may update these Terms at our discretion, posting the revised version here with an updated “Last Updated” date. Significant changes will be notified via email or a Site notice. Your continued use of the Site after the updated Effective Date indicates acceptance of the revised Terms. 1. Legal Notices


1.1. No Legal Advice or Opinion
The Site and Content, including our FAQ on mortgage lender poaching cases, are provided for general informational purposes only and do not constitute legal advice, legal opinions, or a substitute for professional legal counsel. Content may not be accurate, complete, or up-to-date, as laws and their applicability vary by context. We are not obligated to update Content. Do not act or refrain from acting based on Site Content without consulting a qualified attorney. Your use of the Site and Content is at your own risk.


1.2. No Attorney-Client Relationship
Accessing or using the Site, including submitting inquiries via contact forms or viewing our FAQ, does not create an attorney-client relationship with Brody | Gapp LLP. Such relationships require a signed engagement letter, conflict-of-interest checks, and compliance with California State Bar rules. To inquire about our legal services, contact admin@brodygapp.com.

1.3. No Confidentiality
Unless you are an existing client with an engagement letter, any communications you initiate with us (e.g., via contact forms, email, phone, or other means) are not confidential unless we explicitly state otherwise. Do not share confidential, proprietary, or sensitive information unless you are a client. We make no guarantees regarding the security, confidentiality, use, or return of non-client communications.

1.4. Attorney Advertising
The Site may be considered attorney advertising or solicitation under California law or other jurisdictions’ rules.

1.5. No Guaranteed Outcomes
Content, including case descriptions or client testimonials (if any), does not guarantee future results or imply ongoing representation of mentioned clients. Outcomes depend on specific facts and legal circumstances.

1.6. Authorized Jurisdictions
Our attorneys are licensed to practice law only in jurisdictions where admitted or where California State Bar rules permit (e.g., pro hac vice or pending admission exceptions). Contact us for details on our practice areas.

 

2. Data Privacy
Your information submitted or collected via the Site (e.g., contact form data, cookies) is governed by our Privacy Policy. By using the Site, you consent to the collection, use, and sharing practices described therein. Existing clients may be subject to additional privacy and data security terms in engagement letters. 3. Limited License
Subject to these Terms, we grant you a limited, non-exclusive, revocable, personal license to access and use the Site and to view, download, or share Content (e.g., FAQ answers, blog posts) solely for non-commercial, informational purposes, in unmodified form, with attribution to Brody | Gapp LLP, and without removing copyright or permission notices. We may modify or remove Content at our discretion. You may link to publicly available Site pages or share Content per this license but must remove links or Content upon our request. To request permission for other uses, contact admin@brodygapp.com.

 

4. Prohibited Uses
You agree not to use the Site or Content for purposes prohibited by these Terms or in ways that:
• Violate laws, regulations, contracts, or judicial orders.

• Infringe our or others’ intellectual property or privacy rights (e.g., copying FAQ text without permission).

• Transmit unsolicited commercial emails or defamatory/libelous material.

• Disrupt Site security or operations (e.g., hacking, denial-of-service attacks).

• Introduce viruses, malware, or malicious code.

Impersonate others, including our attorneys or staff.

• Engage in fraud or unauthorized access (e.g., using others’ account credentials).

• Harvest or scrape data using automated tools (e.g., bots) without consent.
You are responsible for your Site activities. We may suspend or terminate access for violations, without notice.

5. Third-Party Links
The Site may include links to third-party websites (e.g., legal resources, Wix’s platform). These sites are not governed by these Terms or our Privacy Policy, and we are not liable for their content, practices, or availability. Review their terms and privacy policies before use.

6. Unauthorized Access
If you accidentally or otherwise access information not intended for you, you agree to notify us immediately at admin@brodygapp.com and destroy all copies of such information.

7. Disclaimer of Warranties
The Site and Content are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to:

 

Accuracy, completeness, or timeliness of Content (e.g., FAQ on poaching cases). Uninterred or error-free Site operation.
 

Absence of viruses or harmful components: To the extent permitted by California law and California State Bar rules, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Your use of the Site is at your own risk.


8. Limitation of Liability
To the fullest extent permitted by California law and California State Bar rules, Brody | Gapp LLP, its partners, employees, agents, vendors, or licensors shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages (e.g., loss of data, profits, or opportunities) arising from your Site or Content use, regardless of the claim basis (e.g., contract, tort, negligence), even if advised of such damages. Our aggregate liability shall not exceed $100, which is your sole remedy. This limitation may not apply where prohibited by law or Bar rules.

9. Indemnification
You agree to indemnify, defend, and hold harmless Brody | Gapp LLP, its partners, employees, agents, and affiliates from any claims, losses, or damages, including reasonable attorneys’ fees, arising from:

  • Your violation of these Terms.

  • Your misuse of the Site or Content.

  • Your submission of false, unlawful, or harmful information (e.g., via contact forms).
     

10. Governing Law and Dispute Resolution
These Terms are governed by California law, without regard to conflict-of-law principles. Any disputes arising from your Site use or these Terms shall be resolved exclusively in the state or federal courts located in Orange County, California. You consent to the jurisdiction and venue of these courts and waive objections based on inconvenience. If California State Bar rules require designating a responsible attorney for the Site, we designate James W. Brody, Esq., at our Irvine, CA office.

11. Miscellaneous
Updates: We may update these Terms, posting revisions here with an updated “Last Updated” date, consistent with California State Bar rules.

 

Waiver: Failure to enforce any Term is not a waiver of that or other rights.

Severability: If any Term is deemed invalid, the remaining Terms remain enforceable.

Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement regarding Site use, superseding prior agreements, except for client engagement letters.
